Corporate Governance

The Corporate Governance system adopted by Misitano & Stracuzzi, is based on the following fundamental principles:

  • Transparency: ensuring that all relevant information is disclosed in an accurate and timely manner to shareholders and other interested parties
  • Accountability: Board members and executives must be responsible for their actions and the performance of the Company
  • Fairness: ensuring that the rights of all shareholders are respected and treated equally
  • Social responsibility: considering the effect of business decisions on employees, customers, suppliers and the local community
  • Risk management: identifying, assessing and managing risks that may affect the Company
Board of Directors

The current Board of Directors was appointed by the Shareholders' Meetings held on July 1 and July 11, 2024 (independent members) for a three-year term and will expire, therefore, with the approval of the financial statements as of December 31, 2026.

Below are the names of the Board members:

Antonio Stracuzzi – President and CEO

He has a considerable experience in the field of essential oils due to the many years devoted to Research and Development at the laboratory and the significant business relationships established with customers.

He has been a member of the Board since 2001. He also currently is Safety and Health Manager in the workplace.

Diego Stracuzzi – Chief Executive Officer

He has a considerable experience in the juice industry, thanks to his now long-standing experience in business relations with italian and foreign customers, as well as participation in numerous domestic and international trade fair events.

He has been a member of the Board since 2002. He also is Sales Director in the juices business unit.

Emanuela Stracuzzi – Chief Executive Officer
She has a significant experience in the logistics field, with particular reference to the management of relations with shippers, customs bodies and Italian and foreign clients.
 
She has been member of the board since 1998. She also is Director of Logistics.
Antonio Riccio – Independent Director

After graduating in Business Administration, he specialized in Corporate Finance at the "Luigi Bocconi" University of Milan. He is financial advisor and auditor, certified Effas financial analyst and adjunct lecturer at the University of Salerno. Since 2020, he has been responsible for “Fondo Cresci al Sud,” managed by Invitalia Spa and aimed at acquiring minority stakes in the venture capital of SMEs with registered and operational headquarters in Southern Italy.

He is a board member of several private companies, including Frigomeccanica Srl, Tesi Srl, Lirsa Spa, Contrader Srl, as well as EGM-listed companies such as E-Globe Spa and Simone Spa. He was also Investment Director in the activities related to the management of the closed-end securities funds “Fondo di Promozione del Capitale di Rischio per il Mezzogiorno” and “Atlante Private Equity” of IMI Fondi Chiusi Sgr and Project Leader Basket Bond within the Corporate Finance team of Mediocredito Italiano (Intesa Sanpaolo).

Carlo Munafò – Independent Director

He received his Law degree from the University of Messina in 1993. He was appointed notary public in 2001. In 2012 he was elected Councilor of the Milan Notary Council, of which he served until February 2024. In early 2017, he took office as Secretary of the Milan Notary Council and in February 2020 he was elected President of the Milan Notary Council, a position he held for 4 years.

Concurrently with his position as President of the Milan Notary Council, he also was:

  • President of the "Lelio Ruggeri" Foundation, as stated in the Foundation's bylaws
  • Chairman of the Commission for the Development of Uniform Principles in Corporate Affairs of the Milan Notary Council
  • President of the Commission “Massime per il Terzo Settore” of the Milan Notary Council
  • Member of the Steering and Monitoring Committee of the Lombardy School of Notaries

He is a member of the Information Technology Commission of the National Notary Council, with responsibility for relations with UnionCamere.

All members of the Board of Directors meet the integrity requirements set on article 147-quinquies of the italian TUF.

Directors Antonio Riccio and Carlo Munafò, moreover, meet the independence requirements set out in article 148, par. 3, of the italian TUF, as recalled by article 147-ter, par. 4, of the italian TUF.

Board of Statutory Auditors

The Board of Statutory Auditors consists of 3 Standing Auditors and 2 Alternate Auditors who remain in office for 3 years and can be re-elected. The current Board was appointed during the Shareholders’ Meeting held on July 11, 2024 and will hold office until the approval of the financial statements as of December 31, 2026.

The members of the Board of Statutory Auditors currently in office are shown below:

All members of the Board of Statutory Auditors meet the requirements of integrity and professionalism set out by article 148, par. 4, of the italian TUF.

Melo Martella – President of the Board of Auditors

He received, in 1991, a degree in Economics from the University of Messina and later a Doctorate in Tax Law from the Faculty of Law at University of Catania. In 2019, he attended the Postgraduate Course “Management of Public Administrations” at SDA Bocconi.

He is a member of the Order of Chartered Accountants (since 1994 of Messina and now of Barcelona P.G.) and of the Register of Auditors. He is a lecturer in Tax Law in the graduate course in Business Management of the Department of Economics at the University of Messina. He has held numerous professorships at the same University, has been a speaker at numerous conferences and is the author of numerous publications on tax matters. He is a statutory auditor at several national companies.

He has held and still holds several positions of primary importance, including Component of the Surveillance Committee of Caronte&Tourist Spa, Court Accounted Expert, Consultant of the Public Prosecutor and of the Preliminary Investigation Judge at the Courts of Patti, Barcellona P.G. (ME), Messina and Palermo in the field of accounting, financial, tax, corporate and bankruptcy crimes.

Giulio Ciocchetti – Acting Mayor

He received his bachelor's degree in Administration and Control from the University of Pavia in 2007 and his master's degree in Economics and Business Legislation, from the same university, in 2010; he has been a member of the Order of Chartered Accountants of Vercelli since 2013 and a member of the Register of Auditors kept at the Ministry of Economy and Finance.

He has been financial advisor and auditor since 2014, serving as a consultant and holding leading roles, including, starting in 2015, financial advisor and auditor at the auditing firm PWC Spa, as well as, between 2020 and 2022, the role of lecturer at COVERFOP - Cosortium for Professional Training of Vercelli.

Barbara Ricciardi – Acting Mayor

She graduated in Economics and Business Administration from the University of Rome "La Sapienza". She qualified as Chartered Accountant in 1994 and has been a member of the Register of Auditors since 1999.

She works independently, advising clients on corporate and tax matters. She is a Statutory Auditor or Alternate Auditor for national companies and a Statutory Auditor for the Order of Architects of Rome. She has been a member of the Assembly of Delegates of the Chartered Accountants' Welfare and Assistance Fund from 2016 until 2024. She is a member of Nedcommunity, the Italian Association of Non-Executive and Independent Directors, and participated in the third "The Effective Board" (TEB) refresher course organized by AIDC, Milan Section, and Nedcommunity.

Giuseppe Bulotta – Deputy Mayor

He received his bachelor's degree in Business Administration from the University of Messina in 2013 and his master's degree in Counseling and the Profession, from the same university, in 2015.

He has held and holds to date several positions of primary importance, including member of the Surveillance Committee of companies such as Consorzio A.P.A.M. Società Cooperativa, Maiorana Costruzioni Srl, and the position of Chairman of the Board of Statutory Auditors at the ITT-LSSA Copernico Public Institution located in Barcellona Pozzo di Gotto (ME).

Antonina Molica – Deputy Mayor

She graduated in Economics from the University of Messina in 2004. She has been practicing as a chartered accountant and auditor since 2011.

She is a bankruptcy trustee and expert negotiator of business crisis. She has held and holds to date several positions of primary importance, including Statutory Auditor at IRFIS - FinSicilia Spa, SRR Messina e Provincia Società Consortile P.A., Accounted Expert at the Court of Patti (ME), Consultant of the Public Prosecutor, Judicial Custodian and delegate to the sale.
